AI Contract Generator

1. Parties

This Independent Contractor Agreement (the “Agreement”) is made between Northway Studio (“Client”) and Rivera Creative LLC (“Contractor”).

2. Scope of Work

Design and deliver a brand identity system including logo, color palette, typography, and usage guidelines.

• Discovery workshop and creative brief
• 3 logo concepts + revisions
• Final brand assets (SVG/PNG/PDF)
• Brand guidelines document

3. Payment Terms

Client agrees to pay Contractor a fixed fee of $4500 for the Services. 50% is due upon signing and 50% upon final delivery, unless otherwise agreed in writing.

4. Timeline

Services will commence on March 22, 2026 and are expected to conclude by April 21, 2026, unless extended by mutual written agreement.

5. Intellectual Property

Upon full payment, Contractor assigns to Client all rights, title, and interest in the Deliverables and any work product created under this Agreement.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement and to use such information solely for fulfilling this Agreement.

7. Termination

Either party may terminate this Agreement with 14 days written notice. Client will pay for all work completed up to the termination date.
